By participating in the Dali Pups Affiliate Program (“Program”), you agree to the terms and policies set forth in the following agreement (“Agreement”).
Please read the entire Agreement. This is a legal agreement between you and Dali Pups. By submitting the online application, you acknowledge that you have read and understand the terms and policies of this Agreement and agree to be legally responsible for each and every term and policy if Dali Pups accepts your application.
Your participation in the program is for the sole purpose of legitimately advertising Dali Pups to receive commissions on products purchased by your referrals and recommendations.
This Agreement begins when Dali Pups accepts you into the Program and ends when your participation ends.
Dali Pups may change the Program or this Agreement at any time without notice. If any change to the Program or Agreement is unacceptable to you, your only option is to terminate your participation. Your continued participation in the Program will constitute your acceptance of any changes.
You or Dali Pups may suspend or terminate your participation in the Program at any time for any reason. You will be eligible to earn commissions only for as long as you participate in the Program in accordance with the terms of this Agreement.
References
Dali Pups tracks your referrals based on a tracking code embedded in your specially created links. Visits made using your link remain valid for up to 30 days. You will earn commission even if the customer makes a purchase on our site 30 days after clicking on your link.
Dali Pups reserves the right to refuse service to any referral.
Commissions
Dali Pups will pay you a commission according to the Program compensation schedule for products purchased by your referrals.
Dali Pups uses an affiliate marketing application to tabulate and track sales and commission payments once the follow-up process and purchases are completed. Through the affiliate marketing application, you will have easy access to the information we use to determine the commissions we owe you.
Dali Pups reserves the right to increase or decrease commission rates from time to time as it sees fit.
There is no maximum commission limit.
If a referral returns an item or the referral requests a chargeback on the purchase, you will not receive a commission. In such cases, Dali Pups will refund all funds to the referral, so you will also need to refund your share of the sale. Due to the return period and periodic processing of all Dali Pups products, Dali Pups may hold your commission payment for up to three months.
Cancellations
Dali Pups reserves the right to retract referrals due to order cancellations, duplicate follow-ups, refunds, disputed charges, and Program violations as set forth in these terms and policies.
Additionally, if we ask you for clarification or further information about any order or click that we suspect violates the Program terms and policies, we expect you to respond in a timely and honest manner. Below are violations of our communications policy.
1) You are not forthcoming, are intentionally vague, or have been found to be lying.
2) You do not respond within a reasonable time and after multiple attempts to connect using the information listed in your network profile.
3) You cannot prove or verify the source of your traffic to our website with clear and verifiable evidence.
If any of the above applies, we reserve the right to suspend you from the Program, revoke referrals, change payouts, set your commission to 0%, or immediately terminate your participation in the Program.
We understand that many breaches are a result of automated processes. However, it is each affiliate's responsibility to proactively address such issues and ensure that they have appropriate checks and balances in place to comply with the terms and policies of this Agreement.
Assets
The tools, products, images and creative assets that Dali Pups provides to you (collectively, the “Assets”) contain valuable information vital to the success of the Program, including a tracking code that Dali Pups uses to attribute referrals to you.
Dali Pups grants you a non-exclusive, non-transferable license to use the Assets as set forth in the terms and policies of this Agreement ("License"). The license will terminate upon your departure from the Program or termination of this Agreement.
You will use the assets as Dali Pups instructions:
1) You agree that you will not circumvent, modify or disable the tracking functionality on the Properties.
2) You will not modify, add to, subtract from or otherwise alter the Assets as provided by Dali Pups unless you have received prior written permission from Dali Pups.
3) You may use the Assets solely for the purpose of promoting Dali Pups and its products.
4) Dali Pups retains all rights, title and interest in and to the Assets and any copyright, trademark or other intellectual property therein. Nothing in this Agreement shall be construed to grant you any right, title or interest in the Assets or the underlying intellectual property other than the License to Use the Assets granted in this Agreement.
5) You will not make any claim to the Assets or their copyright, trademark or other intellectual property rights.
Under no circumstances may you send spam related to the Dali Pups affiliate program. Unwanted email is regulated by the Regulation on Commercial Communications and Commercial Electronic Messages in Light of Law No. 6563 on the Regulation of Electronic Commerce.
Dali Pups reserves the right to collect, withhold or cancel any compensation related to commercial messages you send.
You may send transactional or relationship messages as defined by law.
Social Media
Dali Pups allows you to promote offers on Facebook, Instagram, Twitter, blogs, discussion forums and other social media by following these general guidelines:
1) You are ALLOWED to post your affiliate links on your own social media and websites.
2) You are PROHIBITED from posting your affiliate links on Dali Pups’ social media and websites.
Keywords
You may not purchase keywords, domain names, ads, search terms, adwords or other identifiers that contain the word "Dali Pups", the names of Dali Pups products or services, or variations or misspellings thereof.
This policy specifically prohibits you from:
1) Bidding on any keyword phrases such as or containing "Dali Pups" and "Dali Pups pet paintings or "Dali Pups canvas paintings" or "Dali Pups coupons" or "Dali Pups promotions"; and
2) Bidding on any keyword phrase that includes “Pet-specific tables” and “Pet tables” or “Custom-designed tables”; and
3) Buying domain names based on variations like "Dali Pups" or "dalipupstablo.com" or "dalipups.co" or "www.dalipups.org".
Relationship
This Agreement will not be construed to create any employment, agency, or partnership relationship between you and Dali Pups. You will serve Dali Pups as an independent contractor. You will have no authority to bind Dali Pups to any agreement and will not be considered an agent of Dali Pups in any manner.
Dali Pups will not be responsible for any taxes you owe as a result of your relationship with Dali Pups as set forth in this Agreement. Dali Pups will not withhold any taxes from commissions paid to you.
You must include a disclosure statement on any page or post where you use affiliate links in an endorsement or review and it is not obvious that the link is a paid advertisement. This disclosure statement must be clear and concise, stating that Dali Pups has paid you for your review or endorsement.
Guarantee
Dali Pups makes no warranties or representations of any kind, express or implied, regarding the Program.
Dali Pups makes no representation that the operation of the Program will be uninterrupted or error-free, and Dali Pups will not be liable for the consequences of any interruptions or errors.
You represent and warrant that:
1) You have the legal authority to enter into this Agreement and be bound by the terms and policies set forth in this Agreement.
2) Your website does not contain any material that:
(a) is illegal in Turkey or encourages illegal conduct;
(b) Illegal or encouraging illegal conduct in the geographic location in which you operate.
3) You have obtained all necessary permits, licenses or other permissions for any intellectual property used on your website. Nothing on your website infringes the intellectual property rights of any person or entity. No person or entity has ever claimed or sued for such infringement, nor do you have any reason to believe that any person or entity will claim or sue for such infringement in the future.
4) You do not compete with Dali Pups. You are not an employee, agent or partner of any person or company that competes with Dali Pups. You may be an affiliate or independent contractor of any person or company that competes with Dali Pups.
Compensation
You will indemnify and hold Dali Pups harmless from any claims, damages, suits, actions, complaints or other expenses arising out of any breach of your warranties set forth above. You will also indemnify and hold Dali Pups harmless for any damages, losses or other expenses arising out of your use or misuse of the Properties.
Security
Any non-public information that you are exposed to through your relationship with Dali Pups under these terms and policies will be considered confidential company information. You may not disclose any confidential company information to any person or entity, except as required by law, unless you have received prior written consent from Dali Pups for such disclosure.
Obligation
Dali Pups shall not be liable for any direct, indirect, special, incidental or consequential damages, including any loss of profits or costs or costs related to the procurement of substitute goods or services (whether or not Dali Pups was aware or should have been advised of the possibility of such damages arising out of or in connection with any loss, suspension or interruption of the Service, termination of this Agreement, use or misuse of the Assets or other performance of services under this Agreement).
